Start Ups

The Industry Group dedicated to Start Ups and Venture Capital is led by Gianpaolo Todisco,  who grew up and studied in Silicon Valley (LLM, Santa Clara University School of Law).

On the basis of this experience, the Firm has developed a specific model dedicated to Start Ups and Venture Capital.

From the outset, our clients are guided in the general assessment of legal feasibility and regulatory aspects involving their new venture.

We then assist our clients in the choice of the company vehicle, in its set up and governance rules through the preparation of the company by-laws and shareholders' agreements.

We advise our clients on how to best protect intellectual property (distinctive signs, software, inventions, design, operational processes and know-how detained by the startup).

In drafting investment contracts we draft and negotiate confidentiality agreements and assist the parties in the negotiation, finalization and drafting of term sheets, investment agreements and shareholder agreements and any other document or formality required by the market practice in seed or venture capital transactions.

We then assist our clients in the evaluation of negotiation strategies and instruments helpful for the protection of founders following the entry of new shareholders in the corporate structure (non-competition agreements, exits, etc.).
